These Terms of Service constitute a legally binding agreement between you and Airrchip Technology Ltd. By accessing, registering for, browsing, or using the Rubase platform, website, applications, APIs, software, artificial intelligence services, media generation services, and related offerings, you acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms of Service ("Terms") are entered into between:

("Airrchip", "Rubase", "Company", "we", "our", or "us")

the individual, organization, company, or legal entity accessing or using the Services
("User", "Customer", "you", or "your").
Rubase is an artificial intelligence-powered content creation and automation platform that provides access to tools and infrastructure for the generation, editing, enhancement, management, transformation, automation, and distribution of digital content.
Services may include but are not limited to:
Airrchip reserves the right to modify, discontinue, suspend, or replace any aspect of the Services at any time.
Users may be required to create an account to access certain Services.
You agree to:
"Input" means any prompt, text, image, video, audio, file, instruction, dataset, code, metadata, or content submitted to the Services.
"Output" means any content generated, modified, transformed, synthesized, enhanced, or returned by the Services.
You retain ownership of Input submitted to Rubase.
Subject to applicable law and payment of all applicable fees, Airrchip assigns to you any rights it may possess in Outputs generated specifically for you.
You grant Airrchip a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, reproduce, transmit, display, analyze, and otherwise use User Content solely for:
You shall not use the Services to:
Airrchip may suspend or terminate access immediately for violations.
Artificial intelligence systems are probabilistic and may produce inaccurate, incomplete, misleading, biased, offensive, or unexpected outputs.
Users acknowledge and agree that:
Airrchip assumes no responsibility for decisions, actions, losses, damages, liabilities, or consequences resulting from reliance upon Outputs.
Subject to compliance with these Terms and payment obligations, Users may use Outputs for lawful commercial and non-commercial purposes.
Users remain solely responsible for ensuring compliance with:
Airrchip may provide API access.
Airrchip reserves the right to:
Users are responsible for maintaining the confidentiality of API keys.
Paid Services may be offered through subscriptions, prepaid credits, usage-based billing, enterprise contracts, or custom agreements.

Each party agrees to maintain the confidentiality of non-public information received from the other party and to use such information solely for purposes related to the Services.
Airrchip processes personal information in accordance with its Privacy Policy and applicable laws, including:
All rights, title, and interest in and to the Services, including software, source code, algorithms, interfaces, trademarks, logos, designs, documentation, and proprietary technology remain the exclusive property of Airrchip Technology Ltd and its licensors.
No ownership rights are transferred except as expressly stated herein.
Rubase may integrate with third-party providers, including AI model providers, cloud providers, payment processors, authentication systems, and analytics services.
Airrchip shall not be responsible for:
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis.
Airrchip disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and security.
To the maximum extent permitted by law, Airrchip shall not be liable for:
In no event shall Airrchip's total liability exceed the greater of:
(a) USD $100; OR
(b) The amount paid by the User to Airrchip during the twelve (12) months preceding the claim.
Users agree to defend, indemnify, and hold harmless Airrchip Technology Ltd, its affiliates, directors, officers, employees, contractors, licensors, successors, and assigns against all claims, liabilities, damages, losses, costs, and expenses arising from:
Airrchip may suspend or terminate access at any time where:
Airrchip shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including cyberattacks, infrastructure failures, natural disasters, governmental actions, internet outages, labor disputes, or acts of war.
These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates.
Any dispute arising out of or relating to these Terms shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC).
The arbitration award shall be final and binding upon the parties.
To the fullest extent permitted by law, all disputes shall be brought solely on an individual basis. Users waive any right to participate in class actions, collective actions, or representative proceedings.
These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, Data Processing Addendum, and any applicable Order Forms or Enterprise Agreements, constitute the entire agreement between the parties.
